SERVICE OVERVIEW

Shareholders’ Agreement (SHA)

A Shareholders’ Agreement is a legally binding contract that complements the articles of association and provides a detailed framework for cooperation among shareholders. It is particularly important in companies with a more complex ownership structure, where it defines clear rules for decision making, share management and the protection of individual shareholders.

When preparing an SHA, we take into account the client’s business objectives and tailor the agreement to their specific position in the company. The document may include rights attached to shares, mechanisms for minority protection, decision making rules, deadlock resolution procedures and conditions for the transfer of shares, including pre-emption rights, drag along and tag along.

The agreement may also address information rights, non compete obligations, handling of intellectual property or conditions for the entry of an investor. An SHA allows the company to prepare for various scenarios, including changes in ownership or strategic business decisions.

A Shareholders’ Agreement can be adjusted over time to reflect the development of the company. We assist clients in updating the documentation so that it remains clear, functional and capable of protecting their interests as the business evolves.
